Terms and Conditions (AGB)

1. Scope, Targeted Market, and Eligibility

  • 1.1. These Terms and Conditions (AGB) apply to all contracts for online cognitive mentorship and educational sessions concluded between ImagiLearn (hereinafter "We", "Us", or "the Provider") and clients (hereinafter "You" or "the Client").

  • 1.2. Geographic Scope: Our services are explicitly directed at and tailored exclusively for clients residing outside the European Union (EU) and the European Economic Area (EEA), primarily targeting Singapore and other Asian jurisdictions. We do not offer or direct our services to consumers residing within the EU.

  • 1.3. Our online sessions are designed for primary school children aged 6 to 11 years old. All bookings and financial transactions must be completed by an adult parent or legal guardian of full legal capacity (aged 18 or older).

2. Pricing, Currency, and Tax Exemption

  • 2.1. Currency: All fees are listed, invoiced, and charged strictly in Singapore Dollars (SGD) on a per-session basis.

  • 2.2. International Taxes & Fees: As our services are rendered to clients outside the EU, they are exempt from German VAT. The Client is solely responsible for any local consumption taxes, goods and services taxes (such as Singapore GST), import duties, or international transaction and currency conversion fees levied by their local authorities or banking institutions.

  • 2.3. Payment: Payments are processed securely via Stripe. Payment must be cleared in full at the time of booking to secure the session slot.

3. Strict Cancellation, Rescheduling, and No-Show Policy

  • 3.1. The 48-Hour Rule: To cancel or reschedule an individual session without forfeiting the fee, the Client must provide written notice via our designated system or email at least 48 hours prior to the scheduled start time.

  • 3.2. Late Cancellations and No-Shows: If notice is given less than 48 hours in advance, or if the student fails to attend the scheduled Zoom session (a "No-Show"), the Client is in default of acceptance pursuant to § 615 of the German Civil Code (BGB). The full fee for the session is earned by Us, and the booking fee is strictly non-refundable and cannot be credited toward a future session.

  • 3.3. Lateness: Sessions will commence and conclude strictly at the scheduled times. If a child logs in late, the session cannot be extended, and no partial refund or credit will be granted.

  • 3.4. Provider Cancellations: ImagiLearn reserves the right to cancel or reschedule a session due to exceptional circumstances (e.g., severe technical failure or instructor illness). In such events, an alternative slot will be offered. If no mutually agreeable slot can be found, a full refund for that specific session will be issued.

4. Promotional "Free June Sessions" Policy

  • 4.1. Right of Cancellation: ImagiLearn reserves the right to revoke, cancel, or modify free promotional bookings at any time without liability or compensation.

  • 4.2. Free Sessions: One 1:1 Personalised Learning Session for free in June. Two Group Discovery Sessions for free in June.

5. Technical Requirements and Client Responsibility

  • 5.1. Client Setup: It is the sole responsibility of the Client to provide a device with a working camera, microphone, and a stable internet connection.

  • 5.2. Disruptions on Client's End: If a session is cut short, delayed, or cannot take place due to technical, software, or connectivity issues on the Client’s side, our right to full remuneration remains unaffected (§ 615 BGB). No makeup sessions, refunds, or credits will be issued.

  • 5.3. Interactive Participation Requirements:

    • For 1:1 sessions, the child’s camera and microphone must remain activated throughout.

    • For group sessions, the child is expected to engage via video/audio when requested.

    • If the child or parent intentionally deactivates these functions, or refuses to participate, the instructor reserves the right to terminate the session prematurely. In this case, the service is deemed rendered, and the full fee is due.

6. Safeguarding, Privacy, and Data Protection

  • 6.1. Data Processing Framework: As a provider based under German law, your personal data is handled securely under strict data confidentiality frameworks, aligned with the Singapore Personal Data Protection Act (PDPA) and relevant international standards for data safety.

  • 6.2. Recording Ban: To safeguard minor privacy, ImagiLearn will never record sessions without prior written consent. The Client and students are strictly prohibited from recording, photographing, or screenshotting any part of the online sessions.

  • 6.3. Anonymity: The Client must ensure that the child's Zoom display name shows their first name only.

7. Intellectual Property (IP) Protection

  • 7.1. All materials, digital assets, methodologies, and the proprietary Think It. See It. Create It. framework are the exclusive intellectual property of ImagiLearn.

  • 7.2. The Client is granted a highly restricted, non-exclusive, non-transferable, revocable licence for the child's personal educational use only. Any copying, redistribution, public display, or commercial exploitation of our materials is strictly prohibited and will result in immediate termination of services and legal action.


8. Limitation of Liability

  • 8.1. ImagiLearn is liable without limitation only for damages resulting from injury to life, body, or health caused by our intentional or grossly negligent breach of duty.

  • 8.2. For all other contractual or tortious damages, our total aggregate liability shall be strictly limited to the total amount actually paid by the Client for the specific session giving rise to the claim.

  • 8.3. ImagiLearn acts as a cognitive mentorship service. We explicitly do not guarantee specific academic marks, test scores, or school admissions. All implied warranties are excluded to the maximum extent permitted by law.

9. Governing Law and Jurisdiction

  • 9.1. These Terms, and any disputes arising out of them, shall be governed exclusively by the laws of the Federal Republic of Germany.

  • 9.2. Consumer Rights Clause: If you reside outside of Germany (specifically in Singapore or other Asian jurisdictions), this choice of law does not deprive you of any mandatory, non-waivable consumer protection laws applicable in your country of residence (such as the Singapore Consumer Protection (Fair Trading) Act) that cannot be contractually altered.
